M3 Networks - Master Services Agreement (MSA)
This Master Services Agreement ("Agreement") is entered into between M3 Networks, LLC ("Provider") and the Client as outlined in the applicable Statement of Work (SOW). This Agreement outlines the terms and conditions under which Provider will deliver managed IT services.

Services, Term, and Fees
1. Services Provided
Provider agrees to deliver managed IT services, can include but not limited to:
  • Remote monitoring and maintenance
  • Cybersecurity solutions
  • Help desk support
  • Backup and disaster recovery
  • IT consulting and project implementation
Services are defined in detail in each Statement of Work (SOW).
2. Term & Termination
This Agreement begins on the effective date of the initial SOW and continues unless terminated:
  • With 60 days' written notice by either party
  • For cause due to breach or insolvency
Each SOW will define its service period and may renew automatically.
3. Fees & Billing
Client agrees to pay:
  • A monthly fixed fee as outlined in the SOW
  • Any approved out-of-scope services at the agreed hourly rate
Invoices are due on the 1st of the month. A one-time onboarding fee equal to the first month of service is charged unless the client selects the M3 Fortress plan or higher.
Client Responsibilities and Legal Terms
4. Client Responsibilities
Client shall:
  • Provide access to systems and premises as needed
  • Notify Provider of issues promptly
  • Designate a single point of contact for communication
5. Confidentiality
Both parties agree to protect confidential information and not disclose such information to third parties without written consent.
6. Limitation of Liability
M3 Networks' liability shall not exceed the total amount paid by the client in the past 12 months. M3 Networks is not liable for incidental or consequential damages.
7. Ownership & Access
M3 Networks may utilize third-party software or tools. Ownership of such tools remains with their respective owners. Client data remains the property of the Client.
8. Acceptable Use & Security
Client agrees to follow reasonable security practices. M3 Networks reserves the right to suspend services in the event of violations that risk system integrity.
9. Governing Law
This Agreement is governed by the laws of the State of Texas.
Final Agreement Terms
10. Entire Agreement
This MSA and the applicable SOW(s) constitute the entire agreement. No other verbal or written agreements apply unless specifically referenced herein.

Client signature on any associated SOW shall constitute acceptance of this MSA.
Equipment Requirements
Workstations must be procured from M3 Networks for setup to be included in premium offerings. Equipment must be purchased from M3 Networks for installation to be included in the premium package.
